DV8 today appointed Jason Fang, founding partner of Sora Ventures, as chief executive officer, outlining a shift to a corporate Bitcoin treasury and broader digital asset strategy, the company said.

The move follows a months-long reshaping of DV8’s ownership and balance sheet.

A cross-border group that includes Sora Ventures, UTXO Management, Kliff Capital, AsiaStrategy, Moon Inc., and Mythos Group initiated an acquisition of the Thai-listed firm through a voluntary tender offer in July, positioning DV8 to execute a Bitcoin-centric playbook for public companies in Southeast Asia.

Days later, DV8 named Thai investor Chatchaval Jiaravanon as chairman and expanded its board with a mix of local executives and crypto operators.

DV8 also raised fresh capital through a warrant program completed in mid-July. According to company filings, shareholders exercised 99.9% of available DV8-W2 warrants at 0.80 baht, adding about THB 241 million, roughly 7.4 million dollars, and lifting cash by 38%. The capital raise gives the company room to begin treasury activity and related infrastructure work under the new mandate.

Fang arrives with a record of structuring listed-company Bitcoin programs around Asia. In December 2024 Sora Ventures announced a $150 million fund aimed at helping public companies implement balance-sheet Bitcoin strategies tailored to local market rules.

In February, Fang detailed a “MicroStrategy 2.0” framework in Hong Kong that pairs direct holdings with yield-oriented structured products while removing private key management from end investors.

The Sora ecosystem has since moved onto public markets through Top Win International’s merger and rebrand path to AsiaStrategy on Nasdaq, including a ticker change to SORA and a subsequent push into strategic investments related to corporate Bitcoin adoption.

In August, AsiaStrategy disclosed a $10 million convertible note led by WiseLink and began accepting Bitcoin for luxury watch sales, adding an operational settlement layer that complements the treasury thesis.

Thailand’s policy backdrop has improved for corporates exploring digital assets. The government approved a five-year personal income tax exemption on crypto gains for investors, a move that reduces friction for capital formation and potential secondary-market participation around Bitcoin-treasury equities.

The securities regulator has also authorized the use of USDT and USDC in digital asset transactions, allowing stablecoin pairs on local venues and widening the toolkit for market liquidity. Separate coverage this cycle has pointed to a first local spot Bitcoin ETF approval, indicating a gradual expansion of regulated Bitcoin exposure within the jurisdiction.

For DV8, the immediate roadmap centers on treasury governance, disclosure cadence, and the sequencing of any initial Bitcoin purchases, while the board transition and new cash provide the operating basis.

Prior actions around Sora’s network, including structured yield overlays and cross-listings that connect Hong Kong and U.S. markets, offer a template for how treasury accumulation can interact with corporate finance tools and product initiatives.

DV8’s tender, board changes, and warrant funding provide the backdrop for Fang’s appointment, which now concentrates decision-making for a Thai issuer pursuing a Bitcoin-first model linked to a wider regional network of public companies and investors.

Thailand introduced its Tourist Wallet for foreign-currency-to-baht QR payments, but the crypto conversion feature is suspended pending a regulatory review through mid-August.

The Bank of Thailand said the Tourist Wallet is meant to solve a practical problem: Cross-border QR links are only live with eight partner countries including Singapore, Malaysia and, soon, China via UnionPay. Travelers from elsewhere still face friction when paying in Thailand, something the new wallet aims to address.

Tourists will be able to top up their wallets with cash at provider counters, foreign debit and credit cards, or overseas bank transfers. Spending caps apply: 500,000 baht ($13,800) a month for merchants with card terminals and 50,000 baht for small shops. Cash withdrawals are prohibited, and accounts can be closed only through redemption.

The crypto angle, however, remains conditional. The country’s Securities and Exchange Commission is testing whether regulated exchanges and custodians can safely let foreign tourists convert crypto into baht balances for use in the Tourist Wallet.

The scheme would require full passport-based know-your-customer identification (KYC), with regulators citing concerns over mule accounts and money laundering. Until the regulatory review process, called a sandbox, closes and regulators publish results, currently scheduled for later this month, crypto holders won’t be able to spend directly.

For now, the Tourist Wallet is a fiat play dressed in QR code convenience, with crypto adoption still pending the outcome of the sandbox process.

Thailand has announced a significant tax reform to position itself as a leading crypto-friendly nation.

On June 17, the country’s Cabinet approved a five-year personal tax exemption on profits from selling digital assets, including Bitcoin. The measure takes effect from January 2025 and will run until December 2029.

Deputy Finance Minister Julapun Amornvivat explained on the social media platform X that the capital gains tax will be waived for all crypto transactions conducted through licensed digital asset service providers (CASPs).

The policy aims to attract more investment into Thailand’s digital economy while boosting domestic consumption and innovation.

The authorities expect the tax incentive to contribute over 1 billion baht (approximately $30.7 million) to the economy in the medium term by encouraging local and international participation in the crypto market.

Boosting Thailand’s digital economy

The Finance Ministry believes the waiver will stimulate Thailand’s digital asset ecosystem, making it more vibrant and competitive.

According to Amornvivat, the exemption is part of a broader strategy to turn Thailand into a regional hub for blockchain innovation, token fundraising, and related digital businesses.

He added:

“This is another important step in raising the economic potential of our country and is an opportunity for Thai entrepreneurs to grow on the world stage

The government also sees this move as a foundation for future tax policies, including adding value-added tax (VAT) on digital transactions.

Regulatory efforts

Meanwhile, the measure also ensures that crypto trading remains compliant with anti-money laundering (AML) regulations, under the oversight of the Thai Securities and Exchange Commission (SEC).

In addition, the Revenue Department plans to adopt the OECD’s Crypto-Asset Reporting Framework (CARF), which will require sharing digital asset data with international tax authorities.

This is intended to increase transparency and reduce tax evasion risks in cross-border crypto transactions.

These efforts are part of the several steps taken by the Thai government to embrace the crypto sector.

Thailand’s proactive stance is already evident in its recent approval of stablecoins like Tether and USDC for digital trade. Reports also suggest the country is considering allowing spot Bitcoin ETFs.

Despite this openness, authorities continue to enforce rules, including recent crackdowns on illegal crypto mining operations.
