Bit Digital, a computing infrastructure firm long associated with Bitcoin mining, is shifting gears and transitioning to Ethereum. The company has begun offloading Bitcoin reserves and significantly increasing its exposure to Ethereum. 

However, according to additional equity financing plans filed with the US Securities and Exchange Commission (SEC), it’s clear that Bit Digital’s pivot to ETH is just beginning. The timing could be more better, as Ethereum is currently gaining momentum in both price and institutional support.

SEC Filing Reveals Ongoing ETH Accumulation Plan

Bit Digital’s transition to Ethereum began in earnest earlier this month. On July 8, Bit Digital sold 280 BTC worth roughly $172 million to acquire over 100,600 ETH. That initial purchase was followed by an additional 19,683 ETH on July 18, bringing the company’s Ethereum holdings to approximately 120,306 ETH. Interestingly, these purchases have now placed Bit Digital among the top ten publicly known corporate holders of Ethereum.

The company didn’t keep quiet about its reasoning. In a statement posted to the social media platform X, Bit Digital explained its strategy shift is based on broader macroeconomic trends: “Why Ethereum? Why now? Society is entering a new monetary era.” The post highlighted volatile interest rates, inflation risks, and diminishing faith in fiat currency as key motivations for the switch to Ethereum. More importantly, it described Ethereum as offering both capital growth and native yield through staking, advantages that outshine traditional treasury strategies and even surpass Bitcoin’s use case as a store of value.

According to a filing submitted to the SEC on July 25, the company is seeking shareholder approval to increase its authorized share capital from 340 million to 1 billion ordinary shares. The proposed increase would raise total share capital from $3.5 million to $10.1 million while leaving preference shares unchanged. 

In its SEC filing, Bit Digital makes it clear that the move is aimed at securing additional equity financing soon, specifically to support its growth plans centered around Ethereum purchases. A shareholder vote to approve the proposal is set for September 10, 2025. 

Ethereum Outperforming Bitcoin

Interestingly, Ethereum’s price action has picked up notably since Bit Digital initiated its ETH strategy. ETH has surged by about 51% since the beginning of the month, and the ETH/BTC trading pair is up about 35%, clear signs that the market may be rotating toward Ethereum. This trend is further reinforced by continued inflows into Spot Ethereum ETFs, which have now seen 16 consecutive days of positive net flows.

According to on-chain analytics platform Sentora (formerly IntoTheBlock), between $7.5 billion and $8 billion has flowed into US-listed ETH ETFs since July 2. This wave of institutional capital has helped push aggregate assets under management (AUM) well beyond initial projections, turning once-skeptical observers into believers.

Ethereum’s recent performance mirrors this inflow trend, as it is now trading at its highest levels this year. Ethereum began the week with gradual gains, dipped midweek, and rebounded with conviction. As of now, ETH is trading around $3,775, up roughly by 5% in the past seven days.

Bit Digital, a company previously focused on Bitcoin mining, saw its share price decline after announcing a $150 million stock sale and a shift toward Ethereum staking.

On June 26, Bit Digital stated that it would sell 75 million new shares at $2 each. The goal is to raise funds to expand its Ethereum holdings and grow its staking operations.

The market reaction has not been positive. After the company shared its new strategy, its stock fell by nearly 4%. The decline continued after the public offering was announced, with shares dropping by 15% in just one day.

Bit Digital’s stock fell nearly 19% over the whole week, which went from $2.40 to $1.86 before ending on June 27 at $1.99.

The company had already started building its ETH reserves and setting up its staking infrastructure back in 2022.

Bit Digital held 24,434 ETH and 417 BTC, worth about $44.6 million and $34.5 million at the end of March. Once it finishes converting all its Bitcoin into Ethereum, the company expects to hold around 42,000 ETH, which is roughly $103 million based on current prices.

BiT Global, a crypto custody firm tied to entrepreneur Justin Sun, has voluntarily dismissed its lawsuit against Coinbase over the delisting of Wrapped Bitcoin (WBTC).

The move ends a months-long legal dispute that spotlighted growing tensions between centralized exchanges and token custodians as control over key infrastructure becomes increasingly contested.

Filed on June 6 in the US District Court for the Northern District of California, the joint stipulation of dismissal closes the case with prejudice, which prevents it from being refiled.

Both parties agreed to cover their own legal fees and did not disclose settlement terms, if any.

Dispute over custody shift

BiT Global initially filed suit in December, weeks after Coinbase announced that WBTC would be delisted from its platform. The exchange said the token no longer met its listing standards, citing governance and risk concerns.

Days earlier, BitGo, the primary custodian for WBTC, had revealed a new partnership with BiT Global to diversify the token’s Bitcoin reserve holdings outside the US.

BiT Global was set to serve as a co-custodian, with reserves partially relocated to Hong Kong. The move sparked criticism in the crypto industry due to BiT Global’s known ties to Sun, who was facing regulatory probes in the US at the time.

Coinbase argued that allowing WBTC to fall under Sun-affiliated control posed an “unacceptable risk” to user security and market integrity.

BiT Global, in turn, alleged that Coinbase’s rationale masked a conflict of interest. The lawsuit accused the exchange of using the delisting to undermine a competing product, WBTC, in favor of its own wrapped Bitcoin token, cbBTC, which Coinbase launched shortly afterward.

The firm described the delisting as a “cash grab” designed to boost cbBTC’s market share by sidelining its main rival.

Legal setback preceded withdrawal

The case suffered a major blow in March when Judge Araceli Martinez-Olguín denied BiT Global’s motion for a preliminary injunction, ruling that the firm had not demonstrated imminent harm from the delisting.

By May, during a hearing, the judge signaled that she was inclined to grant Coinbase’s motion to dismiss the case entirely, citing a lack of legal grounds to proceed.

With the court leaning heavily in Coinbase’s favor, BiT Global opted to drop the case before a formal ruling was issued. The company has not provided a public explanation for the withdrawal and did not respond to media inquiries.

Coinbase, for its part, reaffirmed its stance following the dismissal. The exchange’s Chief Legal Officer Paul Grewal said in a social media post on June 9:

“We have zero plans to relist WBTC.”

The case highlighted how custody decisions and token listing policies are becoming flashpoints in an industry still lacking unified regulatory oversight. While WBTC remains the dominant wrapped Bitcoin token by market cap, Coinbase’s cbBTC has grown rapidly in adoption since its launch.

BiT Global has ended its dispute over the delisting of BiT Global’s wrapped bitcoin (wBTC) token on Coinbase.

According to a joint court filing, BiT Global has agreed to dismiss its lawsuit against the crypto exchange with prejudice, meaning the case cannot be brought again in the future. The filing notes that both companies will cover their own legal expenses.

BiT Global had filed the lawsuit last year in the Northern District of California after Coinbase delisted the token over what it said was “unacceptable risk” that the tokenized BTC would “fall into the hands of Justin Sun.”

Sun became affiliated with wBTC in August last year through a partnership, prompting Coinbase to question BiT Global about his role. Sun, a Chinese-born crypto billionaire, has nevertheless been supporting the token, with World Liberty Financial dropping its cbBTC for wBTC after he joined as an advisor.

The suit alleged the exchange’s decision was unjustified and harmed the token’s liquidity and reputation while favoring Coinbase’s competing asset cbBTC. Coinbase launched cbBTC just two months before announcing it was delisting wBTC.

The dismissal does not disclose any terms beyond the cost arrangement.
